Anyone can browse the Tokeportal.com website but accessing information on investments in Campaigns and using certain functions require registration, authentication, and completion of an investor profile. Before authentication, Users are subject to the Terms of Use of the Landing Page Website. As the Users become verified Users, they accept the General Terms and Conditions (GTC), allowing them to fill out their Investor Profile. Using TokePortal is free, but there is a single fee for Investors, which TokePortal invoices upon a successful Exit – 3% of the company value at the time of entry and exit.
During registration, one can subscribe to newsletters. It is advised not to unsubscribe, as the newsletters contain current and relevant information for Investors. TokePortal uploads documents to the Investor profile, but updates are only provided in newsletters.
TokePortal is an online service, so there is no need to appear in person. However, the online authentication process (KYC) and investor profile selection must be completed. Creating an Investor Profile requires personal documents (like ID, passport, residence card) and a selfie with the document. The General Terms and Conditions of Use (GTC) must be accepted. Any adult with an authenticated profile can invest for free in crowdfunding campaigns, provided they accept the GTC and Privacy Policy and successfully create an Investor Profile, which Non-sophisticated investors can achieve in two steps:
Based on the ECSPR, we differentiate two basic investor profile categories:
– Sophisticated investor profile
– Non-sophisticated investor profile
The main difference between the two profile types is the frequency of risk warnings and tests.
A Sophisticated investor is someone who understands the risks of investing in capital markets and has sufficient resources to bear these risks without undue financial consequences. An investor is considered Sophisticated if they meet the conditions defined in this section.
Those regarded as Sophisticated investors include:
– Legal entities meeting at least one of the following conditions:
– Having a guarantee capital of at least 100,000 EUR
– Net revenues of at least 2,000,000 EUR
– Natural persons meeting at least two of the following conditions:
– Annual gross personal income of at least 60,000 EUR or a financial asset portfolio exceeding 100,000 EUR, including cash deposits and financial instruments
– At least one year of experience in the financial sector in a professional position requiring knowledge of the intended transactions or services, or at least 12 months in a managerial position in a legal entity mentioned in the first point
– Significant transaction frequency in capital markets in the past four quarters, averaging at least 10 transactions per quarter
Non-sophisticated investor candidates who do not meet the criteria for Sophisticated investors must complete a knowledge test and risk-bearing simulation. This process takes 15-20 minutes and must be done once per profile, with renewal every two years and an annual update of the risk-bearing simulation. Sophisticated investor candidates do not need to complete these tests but must meet the conditions for their profile request.
– The Investor Knowledge Test is a multiple-choice quiz with 11 questions aimed at drawing attention to the risks associated with this investment form. It can be attempted multiple times until it is completed without errors.
– The risk-bearing simulation, as per ECSPR Article 21, must be completed before a Non-sophisticated investor accepts a crowdfunding offer intending to invest an amount exceeding either 1,000 EUR or 5% of their net worth as calculated in their risk-bearing simulation, whichever is higher. In such cases, TokePortal provides a risk warning to the investor candidate.
TokePortal also enables the creation of mentor and angel investor profiles within the Sophisticated and Non-sophisticated investor profiles:
– An Angel Investor profile can be chosen by those planning to invest at least 1 million HUF in one or more campaigns annually.
– A Mentor profile can be chosen by Investors who have signed a Mentor Agreement.

In applying the survey mentioned in paragraph (1), CSPs must also require prospective Non-sophisticated investors to simulate their loss-bearing ability assuming a 10% net worth loss, based on the following information:
- a) Regular and total income, specifying whether it is permanent or temporary;
- b) Financial assets, including financial investments and cash deposits, excluding movable assets, investment properties, and pension funds;
- c) Financial commitments, including regular, existing, or future obligations.
