As of 11 November 2023, the application of the European Regulation on Community Funding Services has become mandatory, which entitles authorised service providers to provide "full passporting", i.e. cross-border services in any EU Member State, under the jurisdiction of any EU supervisor, to an investment firm capable of issuing marketable securities that are eligible for the so-called "full passporting". The "Key Investor Information Sheet" (KIIS) must be fully and prudently completed and submitted to an authorised service provider which authorises its publication. The legislation that has entered into force also strengthens the enforceability of investor protection rights.

This has created a new legal category of crowdfunding alongside traditional private and public offerings, a form of public offering whereby EU companies can raise capital from international investors up to €5 million per year, or nearly two billion forints per year, without additional regulatory approval.

Until such a licence is obtained, the TokePortal will not engage in active crowdfunding activities requiring a licence. TokePortal will continue to carry out preparatory and preparatory activities related to the completion of previously closed campaigns and to campaigns launched after the authorisation.

We also plan to launch international campaigns in 2024. As we have been operating in the spirit of the ECSPR, apart from the post-authorisation procedures, no significant process changes are expected.
