- The campaign initiation proposal can be submitted by the prospective Campaign Owner or its founder, who represents the business, with the signing of the confidentiality statement available at this link and a brief description, after studying the Campaign Launch information and Frequently Asked Questions:
– https://tokeportal.com/kampanyinditasi-folyamat/
– https://tokeportal.com/gyik/
- Subsequently, the prospective Campaign Owner and its founders must create their Investor profile (which can be deleted if they decide to withdraw their investment indication).
- Within a few days, an in-person or online pitch and discussion will take place, during which it is expected that a joint decision will be made on whether the given business model and business phase can be crowdfunded. If yes, then the prospective Campaign Owner receives the Campaign Launch and Cooperation Agreement, in which the campaign-specific data are recorded by the parties. The contract fees (750 euros) include all the costs of campaign launch, including preliminary review (scoring) fees, the appropriate peer group analysis that provides ideas and validates the pricing for the Campaign, proactive coordination of preparation, creation of the Campaign Management plan, weekly meetings – up to a total of 20 working hours, beyond which support can be requested at a discounted hourly rate as specified in the Fee Schedule. From the start of the closed phase to the last day of the Campaign, the service is free of charge – provided that the Campaign Owner fully cooperates in the manner detailed in the contract.
- During the preliminary review, the Campaign Owner prepares the Campaign Documentation in both English and Hungarian. Preparation for the Campaign typically involves 20-50 hours of intensive work over 3-6 weeks, and managing the Campaign successfully, including communication tasks, requires 5-6 working hours per week. Preparation and availability are the duty and responsibility of the Campaign Owner and the founders.
- Upon completion of the Scoring, if no “red flags” arise that could hinder the Campaign or pose legal concerns, and when the financial plan and one-pager for the Campaign Documentation are ready, from which the first type of campaign page, the Pre-Registration page, can be created, the Pre-Registration phase can be launched. Scoring essentially starts the due diligence process, which should be completed as soon as possible after a successful Campaign. This involves examination of the feasibility of promises and plans made by the Campaign Owner by one or more designated experts and lawyers. If only at this stage does it become apparent that a situation or behavior fundamentally hinders or risks the fulfillment of the promises made in the Campaign, or a fact that would have prevented the Campaign Owner from starting the Campaign, then TokePortal will not agree to the disbursement and use of the capital raised, but will require the Campaign Owner to refund it immediately to the Investors. TokePortal communicates this decision to the investors.
- The Campaign Documentation, which is accessible on the website even after the Campaign ends for users with an Investor profile, is prepared in English and Hungarian. Our mentors – for a fee depending on the amount of work required – are happy to help with this if needed. The elements of the Campaign Documentation:
Marketing materials:
1) Continuous, comprehensible, clear, precise text with figures, simple tables, and illustrations presenting the Campaign;
2) Financial plan (5 years, in xls) and its textual summary, defining the capital requirements and supporting the pricing (based on Peer group analysis, as well as DCF and other startup pricing methods, see more details: https://tokeblog.hu/minden-amit-tudnod-kell-a-startupertekelesi-modszerekrol-2/);
3) One-pager, already including the preliminary company value and the Capital Target, as well as presenting the business model and founders;
4) Pitch deck, detailing the investment opportunity, a 15-25 slide, graphically and visually sophisticated, branded slideshow
5) 3-5 minute pitch video with Hungarian and English subtitles, where the entire team introduces themselves, presents the business services, operations, and everything summarized in the deck and the one pager.
Legal document:
6) Investor information (or investment terms), the KIIS (see)
- The Campaign Management plan is prepared by the Campaign Owner, TokePortal’s dedicated Campaign Manager, and participating mentors, at the latest during the Closed phase. A guide to the success of the Campaign is the article on the characteristics of a successful Campaign Owner (see).
- Reaching 50% is a psychological barrier: from this point, a campaign can “only be messed up”. Unfortunately, success is not automatic from this point, and more low points may follow, but a truly committed Campaign Owner will feel that this is when the previous invested work begins to pay off. It is advisable to start preparing for the due diligence and proactively coordinating with the auditors, and to complete the tasks related to the finalization of the KIIS in order to fulfill the Disbursement conditions as soon as possible. Most Campaign Owners – due to improper time management – only start dealing with these tasks after the Campaign closure, which usually takes a minimum of 2 months, but in some cases, 6 months. At this stage, the Campaign Owner never receives new conditions – it’s a different question that many realize at this time that the conditions really need to be met. Thus, like the entire Campaign, the secret to success is preparation, readiness, and agility.
